Spirit AeroSystems manufactures aerostructures, particularly fuselages, cockpits, wing sections, engine pylons, and nacelles for commercial and military aircraft. The company was spun out of Boeing in 2005 to become the largest independent supplier of aerostructures for commercial aircraft. Boeing and Airbus are the firm's primary customers—Boeing represented roughly 60% and Airbus roughly 20% of revenue in recent years. The company is highly exposed to Boeing's beleaguered 737 program, which accounts for nearly half the company's revenue. The company plans to be acquired by and reintegrated into Boeing in mid-2025.

Spirit Aerosystems Holdings, Inc. (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/SPR#NYSE">SPR</a>) shares traded higher in the premarket on Monday following a definitive agreement with Airbus SE (OTC:<a class="ticker" href="https://www.benzinga.com/stock/EADSY#OTC">EADSY</a>) on Sunday to transfer ownership of specific assets and sites related to Airbus aerostructure production.
After the completion of this transaction, Airbus will assume ownership of the Spirit assets at the Kinston site in North Carolina, U.S. (A350 fuselage sections), the St. Nazaire site in France (A350 fuselage sections) and the Casablanca site in Morocco (A321 and A220 components).
The assets also include the production of A320 and A350 wing components in Prestwick, Scotland, the production of A220 pylons in Wichita, Kansas, U.S., and the production of A220 wings in Belfast, Northern Ireland.
Spirit AeroSystems plans to sell its Subang, Malaysia site to a third party.
If no suitable buyer is found, Airbus will also take ownership of the production of the A220 mid-fuselage at the Belfast site.
Additionally, the assets in Subang, Malaysia, related to Airbus programs will be acquired by Airbus if no suitable buyer is identified before the transaction closes.
The compensation amount has been revised to reflect this updated transaction scope, consistent with the binding term sheet agreement announced on July 1, 2024.
As part of the deal, Spirit AeroSystems will pay Airbus $439 million, subject <a target="_blank" href="https://www.airbus.com/en/newsroom/press-releases/2025-04-airbus-signs-definitive-agreement-with-spirit-aerosystems" rel="noreferrer noopener">to </a>certain closing adjustments.
Moreover, Airbus has signed a memorandum of agreement with Spirit AeroSystems, agreeing to provide non-interest-bearing lines of credit totaling $200 million to support Spirit AeroSystems&#8217; work on Airbus programs.
This divestiture is expected to close alongside Spirit&#8217;s previously disclosed acquisition <a target="_blank" href="https://www.benzinga.com/24/07/39567358/boeing-to-acquire-spirit-aerosystems-for-4-7b-after-months-of-negotiations" rel="noreferrer noopener">by </a><a target="_blank" href="https://www.benzinga.com/24/07/39567358/boeing-to-acquire-spirit-aerosystems-for-4-7b-after-months-of-negotiations" rel="noreferrer noopener">The Boeing Company</a><a target="_blank" href="https://www.benzinga.com/24/07/39567358/boeing-to-acquire-spirit-aerosystems-for-4-7b-after-months-of-negotiations" rel="noreferrer noopener"> (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/BA#NYSE">BA</a>)</a>.
Both transactions are subject to regulatory approvals and other closing conditions, with an expected completion in the third quarter of 2025.
Investors can gain exposure to SPR via&nbsp;Gabelli Commercial Aerospace and Defense ETF (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/GCAD#NYSE">GCAD</a>).

Spirit AeroSystems Hands Over Key Airbus Programs In $439 Million Asset Transfer Deal

Airbus SE (OTC:<a class="ticker" href="https://www.benzinga.com/stock/EADSF#OTC">EADSF</a>) has agreed to take over assets owned by Spirit Aerosystems Holdings Inc. (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/SPR#NYSE">SPR</a>) in a boost to the manufacturer's acquisition by Boeing Co. (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/BA#NYSE">BA</a>).
What Happened: Airbus will acquire several of Spirit's assets across the globe as part of the deal, including a facility in Kinston, North Carolina, as well as another facility in France. Both facilities manufacture crucial fuselage sections for Airbus's A350 aircraft, Spirit announced in an official statement on Monday.&nbsp;
Others include a facility in Casablanca, Morocco, where the company manufactures A321 and A220 components, as well as parts of facilities in Belfast, Scotland, and Wichita.
The deal stipulates that if no other suitable buyers are found, Airbus will also acquire assets in Subang, Malaysia, related to Airbus programs.
"For many years, Spirit&#8217;s collaboration with Airbus allowed us to deliver aerostructures for some of their most important aircraft programs," said Irene Esteves, Executive VP and CFO at Spirit. She added that this deal will be a boost for the company&#8217;s acquisition by Boeing. 
Airbus will provide Spirit with a $200 million non-interest-bearing credit line, while Spirit will hand over $439 million to Airbus for the assets.
Why It Matters: The sale of assets clears the way for the Spirit's acquisition by Boeing, which <a href="https://www.benzinga.com/24/07/39567358/boeing-to-acquire-spirit-aerosystems-for-4-7b-after-months-of-negotiations">was announced last year</a>, with Boeing paying $4.7 billion after months of negotiations. It's worth noting that Spirit spun off from Boeing in 2005.
The deal with Airbus can also be a boost for Boeing, which is reeling from the effects of the ongoing<a href="https://www.benzinga.com/25/04/44888512/boeing-jet-returns-to-us-amid-escalating-tariff-tensions-with-china"> U.S.-China trade war</a> after the CCP announced a halt on all imports of aircraft made by Boeing into the country.
Boeing also recently secured a deal for <a href="https://www.benzinga.com/tech/25/04/44896693/boeing-secures-new-stocks-of-crucial-nuts-and-bolts-used-in-737-max-production-amid-chinas-import-ban-report">crucial fastening components</a> like nuts and bolts for its best-selling 737 Max model, production of which could've been affected had the manufacturer not replenished its stocks.&nbsp;

Airbus Finalizes Deal With Spirit To Take Over Assets, Paving Way For Boeing Acquisition

At the closing of this transaction, Airbus will take ownership of the following Spirit assets:
<ul>
<li>the site of Kinston, North Carolina, U.S. (A350 fuselage sections);</li>
<li>the site of St. Nazaire, France (A350 fuselage sections);</li>
<li>the site of Casablanca, Morocco (A321 and A220 components);</li>
<li>the production of components for the A320 and A350 wings in Prestwick, Scotland;</li>
<li>the production of A220 pylons in Wichita, Kansas, U.S.;</li>
<li>the production of A220 wings in Belfast, Northern Ireland; and</li>

</ul>
The assets in Subang, Malaysia related to Airbus programs will also be acquired by Airbus if no suitable buyer is identified before the closing of the transaction.

Spirit AeroSystems Shareholders Approve Acquisition By Boeing; Expected To Close In Mid-2025

Boeing Company (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/BA#NYSE">BA</a>) shares are <a target="_blank" href="https://www.benzinga.com/movers" rel="noreferrer noopener">trading lower on Wednesday</a>.
Yesterday, the company reported fourth-quarter earnings results, with an adjusted operating loss of $4.042 billion, compared to an adjusted <a target="_blank" href="https://www.benzinga.com//node/43266372" rel="noreferrer noopener">operating earnings of $90 million a year ago. </a>Adjusted loss per share grew to $5.90 from $0.47 in the same quarter of 2023, missing the consensus of a $2.44 loss.

Goldman Sachs: Poponak notes that while defense results posed challenges this quarter and remain a medium-term risk, Boeing has the potential to reach industry-average margins over time.
Per Poponak, Boeing can outperform in 2025 as supply improvements continue, with strong demand remaining.
The analyst highlights Boeing&#8217;s potential to reach or exceed 38 737-MAX units per month by late 2025, thanks to progress with Spirit Aerosystems Holdings, Inc., suppliers catching up after labor negotiations, and an agreement with the FAA for rate increases.
The 787 program is also back on track at 5 units per month, with plans to increase to 7 per month, driven by improvements in the supply chain and component availability.

Based on improved market conditions, the analyst raises the price target to $185 from $170 but keeps EPS and free cash flow estimates unchanged.
Despite the positive outlook, the analyst maintains a Neutral rating, cautioning that the recovery in operations and engineering might take longer than expected.
RBC Capital Markets: Herbert highlights that CEO Kelly Ortberg has focused on improving defense results, and successful delivery in this area could boost Boeing.
The analyst notes risks in the expected production increases for the 737 and 787 programs.
However, a strong inventory liquidation in the first quarter of 2025 should provide a positive short-term sentiment.
