Oppenheimer Downgrades JPMorgan Chase to Perform

Shares of cryptocurrency company Bakkt Holdings Inc (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/BKKT#NYSE">BKKT</a>) soared on reports that Donald Trump's media company could be eying an <a href="https://www.benzinga.com/general/social-media/24/11/42048594/trump-digs-deeper-into-cryptocurrency-bakkt-shares-soar-on-reported-interest-from-president-elects-media-company">acquisition of the company.</a>
While investors who got into the stock early Monday are up big, one hedge fund may have had perfect timing less than a week ago.
What Happened: A report from the Financial Times linked Bakkt Holdings with being the subject of a takeover report from Trump Media &amp; Technology Group (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/DTJ#NASDAQ">DTJ</a>).
Bakkt shares opened for trading at $11.31 on Monday before closing the day up 162.7% to $29.71. The stock was trading another 6.36% higher Tuesday afternoon at $31.59. 
The company said it would not comment on "market rumors or speculation.&#8221;
Hedge fund Highbridge Capital, which is a <a href="https://www.highbridge.com/">unit </a>of JPMorgan Chase (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/JPM#NYSE">JPM</a>), recently took a large stake in the cryptocurrency company.
A 13G <a href="https://www.sec.gov/Archives/edgar/data/919185/000090266424006542/p24-3248sc13g.htm">filing </a>issued Thursday shows that Highbridge Capital purchased 692,042 Class A shares issuable upon exercise of warrants. The purchase was listed as representing 9.9% of Bakkt based on 6.32 million shares outstanding.
While the filing did not list a purchase price, the investor may be up millions of dollars on the trade depending on the timing.
Bakkt shares traded at a high of $13.05 on Thursday. An investor could have purchased the equivalent of 692,042 shares for $9,031,148.10.
Based on a price of $33.50 for Bakkt shares at the time of writing, the 9.9% stake and 692,042 shares are now worth $23,183,407. This means Highbridge Capital could be up around $14.15 million on its recent purchase, a cool 156.7% gain in less than a week.

What's Next: News of the reported acquisition come as Trump Media &amp; Technology co-founder Trump is set to return to the White House in January. 
Trump is viewed as a more pro-crypto friendly president than the past administration based on his 2024 election campaign.
Bakkt, <a href="https://www.benzinga.com/markets/cryptocurrency/21/04/20550003/3-cryptocurrency-spacs-that-could-run-on-a-successful-coinbase-ipo" target="_blank" rel="noreferrer noopener">which went public </a>in October 2021 via SPAC merger, is backed by New York Stock Exchange owner Intercontinental Exchange (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/ICE#NYSE">ICE</a>), which owns a reported 55% of the company.
Bakkt&#8217;s first CEO was former U.S. Senator Kelly Loeffler, who represented the state of Georgia as a Republican. Loeffler is helping to organize Trump&#8217;s inauguration in January and has close ties to the president-elect.
Bakkt&nbsp;<a href="https://www.benzinga.com/news/24/06/39234822/bakkt-holdings-explores-potential-sale-or-breakup-amid-crypto-sector-consolidation" target="_blank" rel="noreferrer noopener">said in June</a>&nbsp;it was exploring strategic alternatives that could include a sale or breakup of the company.
The company previously said its crypto custody business could be wound down. This segment might not be included in a buyout, according to the FT report. Bakkt is planning to build a crypto trading platform geared toward institutional investors.
DJT shares have experienced high volatility and an increased valuation after Trump won the 2024 election.
An acquisition of Bakkt would push Trump&#8217;s media company and the president-elect deeper into the cryptocurrency sector, which comes after he promoted a crypto venture called&nbsp;World Liberty Financial&nbsp;with business partners.
BKKT, DJT Price Action: Bakkt stock is up 6.36% to $31.59 on Tuesday versus a 52-week trading range of $5.57 to $68.75. Bakkt stock is down 40.4% year-to-date in 2024.
Trump Media &amp; Technology stock is down 7.8% to $30.20 on Tuesday versus a 52-week trading range of $22.55 to $79.38. Trump Media &amp; Technology stock is up 73.05% year-to-date in 2024.

According to Dimon, regulations like capital requirements, card payments and open banking have gotten out of control. He thinks these <a href="https://www.benzinga.com/news/24/10/41586685/jamie-dimon-rips-stupid-calculations-in-proposed-banking-reforms-calls-for-regulatory-overhaul">regulations hurt companies, </a>particularly smaller ones and prevent growth rather than make the financial system safer. He stated that lower-paid people ultimately face the weight of limited access to financial services.
At the heart of his argument is a belief that banks are getting pushed around by regulators and that it&#8217;s time to push back. He compared the current situation to a knife fight, where bringing a knife is the only way to have a chance. For Dimon, that means not shying away from lawsuits and direct challenges to what he calls unfair regulations.&nbsp;

Dimon also criticized how card-issuing companies like American Express and Discover can charge more for debit card transactions, while banks face strict limits. To him, this is just another example of a regulation that's &#8220;grossly unfair.&#8221;

Although their recent decision to facilitate client switching between financial service providers sounds like a win for customers, to Dimon, it creates opportunities for fraud and data breaches. He's not against open banking in theory but he's ready to fight any policy that puts consumers at risk.

Trump Trade Sparks Biggest Financial Stock Inflows In 2 Years

For over three decades, one of America's largest banks, JPMorgan Chase (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/JPM#NYSE">JPM</a>), has refused to pay out a $331 monthly pension to Elaine Silverberg, widow of one of their former longtime employees, according to The New York Post. The publisher recently reported on the ordeal that has left the widow fighting for what should be hers – a battle she has been waging for over 13 years.

Elaine's late husband, Melvyn Silverberg, worked for Chase Manhattan Bank as a systems analyst until 1979. Tragically, he passed away at just 43 years old in 1988 due to multiple organ failure, leaving Elaine, who was just 37, to raise their three children alone. Since then, Melvyn&#8217;s $53,000 pension from his 10 years at the bank has been in limbo for more than 36 years as Elaine has battled to collect it upon her retirement.
In a statement to the New York Post, <a href="https://www.benzinga.com/quote/JPM">JPMorgan Chase</a> admitted that Melvyn had earned a vested retirement package but claimed that he had failed to complete the necessary paperwork to elect his wife as a beneficiary. Unfortunately, Mel passed away before the 1984 Retirement Equity Act, which automatically granted pension benefits to spouses, came into effect. Because Mel's employment ended before this law was passed, the bank has used this technicality to argue that Elaine is not entitled to any payments.

Elaine, now 73, said that the company has treated her like &#8220;an insignificant cockroach just to be stepped on.&#8221; The bank has not backed down despite her repeated pleas and even enlisting the help of Sen.<a href="https://www.benzinga.com/markets/cannabis/24/01/36800756/cory-booker-moves-to-protect-weed-rights-in-federally-funded-housing-no-one-should-face-eviction"> Cory Booker</a> of New Jersey and former New York congressman Eliot Engel.
According to the <a href="https://www.benzinga.com/personal-finance/24/08/40096914/social-security-administration-is-in-a-customer-service-crisis-says-ssa-commissioner-and-u-s-cit">Social Security Administration</a>, the pension should payout $331 monthly, which isn&#8217;t exactly a life-altering amount for a bank that made almost <a href="https://www.benzinga.com/24/10/41300013/jp-morgan-and-wells-fargo-report-better-than-expected-q3-results-that-reflect-resilient-u-s-consumer">$13 billion in profits in the third quarter</a> alone this year.&nbsp;
JPMorgan Chase says they sympathize with Elaine but cannot make an exception without the required paperwork. To add insult to injury, correspondence reviewed by the paper shows that the bank allegedly contacted Melvyn multiple times after his death, including once in 1990, asking him to elect for spousal coverage – two years after he had already passed away.

Elaine argues that she never received these letters and has been denied what is rightfully hers due to bureaucracy and technicalities. According to a senior lawyer at the mid-Atlantic Pension Counseling Project, the bank&#8217;s reasoning is &#8220;weak&#8221; and highlights a common problem in which pension plans place the burden of evidence on widows like Elaine, who have to &#8220;prove a negative&#8221; years later.
For a bank like JPMorgan, $53,000 isn&#8217;t much, but to Elaine, it is a testament to her husband&#8217;s efforts and the stability he worked so hard to create. &#8220;This is a lot of money to me,&#8221; she said. &#8220;For them, it's just a joke.&#8221;
