Private equity firms TPG and Blackstone (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/BX#NYSE">BX</a>) recently bid to acquire Hologic Inc. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/HOLX#NASDAQ">HOLX</a>), valuing the U.S. medical technology company at over $16 billion.
Hologic is an American medical technology company primarily focused on women&#8217;s health. It sells medical devices for diagnostics, <a target="_blank" href="https://www.benzinga.com/general/health-care" rel="noreferrer noopener">surgery, and imaging</a>.
While Hologic rejected the initial nonbinding offer, citing sources, the Financial Times writes that the negotiations could resume.

The proposed buyout valued Hologic between $16.3 billion and $16.7 billion, including debt, and would have priced shares at $70 to $72—well above the company&#8217;s closing price of $54.28 on Friday.
The FT report adds that if successful, the deal would have ranked among the largest leveraged buyouts of the year.
Despite the generous premium, Hologic declined the approach. Its stock has dropped about 24% this year, weighed down by U.S. tariffs and softening demand.
Hologic reported adjusted earnings of $1.03 per share for the second quarter of 2025, the same as last year, beating the <a href="https://www.benzinga.com/calendars/earnings" target="_blank" rel="noreferrer noopener">consensus of $1.02</a>. Sales decreased 1.2% year over year to $1.05 billion, beating the <a href="https://www.benzinga.com/pressreleases/25/05/b45149552/hologic-announces-financial-results-for-second-quarter-of-fiscal-2025" target="_blank" rel="noreferrer noopener">consensus of $1 billion</a>.
Hologic lowered fiscal 2025 adjusted earnings per share guidance from $4.25-4.35 to $4.15-4.25 compared to consensus of $4.26, based on tariffs and geopolitical conditions.
The company reaffirmed sales guidance of $4.05 billion-$4.10 billion compared to the consensus of $4.08 billion.
Hologic expects third-quarter adjusted earnings of $1.04-1.07 per share versus consensus of $1.10 and sales of $1 billion-1.01 billion compared to the consensus of $1.03 billion.
The FT report <a target="_blank" href="https://www.ft.com/content/f4d12c75-1a54-4d8c-8aa6-f863cbdc4aab" rel="noreferrer noopener">noted</a> that CEO MacMillan acknowledged in the company&#8217;s recent quarterly earnings call that the business had endured &#8220;a tumultuous few months from a macroeconomic and policy perspective.&#8221; Still, it emphasized that the firm is making progress.
Hologic has long been viewed as a possible takeover target. Activist investor Carl Icahn acquired a 12.5% stake in 2013, prompting the company to adopt a poison pill strategy. Icahn later secured two board seats and influenced leadership changes, including Steve MacMillan&#8217;s appointment as CEO.

Kyverna reported&nbsp;$242.6 million&nbsp;in cash, cash equivalents, and available-for-sale marketable securities as of&nbsp;March 31, 2025. The company expects this to provide a cash runway into 2027.
&#8220;Ahead of three catalysts, we think the risk-reward profile attractive, particularly given a deeply negative enterprise value,&#8221; says HC Wainwright analyst Mitchell S. Kapoor.
Kapoor wrote on Tuesday, &#8220;We note that this cash position enables investors to own KYTX effectively as a call option that could provide meaningful upside if any of these catalysts were to be positive. In the same vein, since the stock currently trades at such a massive discount to cash, we believe there is considerable mitigation baked in against downside risk.&#8221;
HC Wainwright sees near-term potential in the MG opportunity, mainly due to encouraging early results from three compassionate-use patients. Additionally, the analyst says that an upcoming update on how long the treatment lasts in these patients could be an even stronger catalyst, possibly showing durability comparable to rivals like Cartesian Therapeutics Inc (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/RNAC#NASDAQ">RNAC</a>).
HC Wainwright upgraded from Neutral to Buy rating, raising the price <a target="_blank" href="https://www.benzinga.com/quote/KYTX/analyst-ratings" rel="noreferrer noopener">target from $4 to $5</a>.
Kyverna might consider giving MG patients another dose of KYV-101 in the future, though that&#8217;s not the current plan.
For context, according to one report, ArgenX SE&#8216;s (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/ARGX#NASDAQ">ARGX</a>) Vyvgart costs between $300,000 and $450,000 per year, and KYV-101 would likely be priced in a similar range.
Because of that, Kapoor writes the therapy should at least offer lasting remission for a year to be considered a cost-effective and preferred option for treating MG.

Canaccord Genuity analyst Susan Anderson reiterated the Buy rating on e.l.f. Beauty (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/ELF#NYSE">ELF</a>) <a href="https://www.benzinga.com/quote/ELF/analyst-ratings" target="_blank" rel="noreferrer noopener">with a price forecast of $105</a>.
On May 23, the firm disclosed via social media its plan to increase prices by $1 starting August 1, attributing the decision to the current tariff environment.
According to Anderson, this development should be viewed positively, as it suggests the company&#8217;s tariff impact is &#8216;manageable&#8217; using its existing strategy while continuing to provide affordable, high-quality products.

The analyst also pointed out that the firm&#8217;s planned price increase is justified because their current average unit retail price of around $6.50 is significantly lower than that of their mass-market peers, who average over $9. It is also even further below prestige brands. 
She also observed that the company&#8217;s post suggests manufacturer&#8217;s suggested retail prices (MSRP) may differ by retailer.
The company&#8217;s post mentioned 75% of its U.S. product lineup will continue to be priced below $10, while a comment on the same page indicated that 50% of its products globally remain under the $10 mark.
The analyst noted that e.l.f. products tend to be priced higher in international markets like Europe compared to the U.S.
However, Anderson also cautioned that despite the near-term optimism, recent tariff-related statements from President Donald Trump have reintroduced a level of uncertainty regarding the broader outcome of the tariff situation.
With President Trump again stoking the flames of a trade war that appeared to be cooling with potential escalation against the European Union and on Apple products, tariff risk may not be in the rearview mirror just yet, she stated.
The company announced that it will hold a webcast to discuss its fourth quarter fiscal 2025 <a href="https://www.benzinga.com/pressreleases/25/05/b45530147/e-l-f-beauty-announces-earnings-release-date-for-fourth-quarter-fiscal-2025-results" target="_blank" rel="noreferrer noopener">results on Wednesday, May 28, 2025</a>.
Anderson stated that during its earnings, she anticipates the company will provide additional details on its strategy for addressing its manufacturing exposure in China.
The analyst projects the company to report quarterly adjusted EPS of 71 cents, and sales of $327.7 million.

e.l.f. Beauty's $1 Price Hike Seen As 'Manageable' Tariff Move: Analyst

Savara Inc.&nbsp;(NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/SVRA#NASDAQ">SVRA</a>) on Tuesday announced that it received a U.S. Food And Drug Administration (FDA) refusal To File (RTF)) letter regarding the Biologic license application (BLA) for Molbreevi, a therapy for treating patients with autoimmune Pulmonary <a target="_blank" href="https://www.benzinga.com/general/health-care" rel="noreferrer noopener">Alveolar Proteinosis (PAP)</a>.
Autoimmune PAP is a rare lung disease characterized by the abnormal build-up of surfactant <a target="_blank" href="https://www.benzinga.com/pressreleases/25/05/b45615282/savara-receives-refusal-to-file-rtf-letter-from-the-u-s-food-and-drug-administration-fda-for-the-b" rel="noreferrer noopener">in the lungs&#8217; alveoli</a>.
Surfactant consists of proteins and lipids and is an important physiological substance that lines the alveoli to prevent them from collapsing.
As a result, an excess of surfactant accumulates in the alveoli, causing impaired gas exchange and clinical symptoms of shortness of breath, often with cough and frequent fatigue.

Upon preliminary review, the FDA determined that the BLA submitted in March 2025 was not sufficiently complete to permit substantive review and requested additional data related to Chemistry, Manufacturing, and Controls (CMC).
The RTF did not result from safety concerns, and the FDA did not request or recommend additional efficacy studies.
Within 30 days, the company intends to request a Type A meeting with the Agency.
&#8220;The requested CMC data outlined in the RTF letter are currently being generated, and we look forward to meeting with the FDA to align on next steps,&#8221; said Matt Pauls, Chair and CEO, Savara. &#8220;Based on our understanding of the letter, we are confident we can thoroughly address the Agency&#8217;s request and expect to resubmit our BLA in the fourth quarter of 2025. We remain highly confident in our program for autoimmune PAP and believe that our clinical data demonstrate that MOLBREEVI improves pulmonary gas transfer and respiratory health-related quality of life in this rare disease.&#8221;
Pauls continued, &#8220;As outlined in our Annual Report, we are working to establish a redundant supply chain. Pursuant to that strategy, we remain on track to complete the technology transfer with our second-source drug substance contract manufacturer in the fall. We have completed three upstream process performance qualification (PPQ) batches, are in the process of completing our downstream PPQ campaign, and have begun our analytical comparability analysis.&#8221;

Why Is Rare Lung Disease-Focused Savara Stock Trading Lower On Tuesday?

Eli Lilly and Co. (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/LLY#NYSE">LLY</a>) is on track to close one of its worst months ever after slashing its full-year profit outlook despite beating <a href="https://www.benzinga.com/general/biotech/25/05/45176293/eli-lilly-stock-offers-buying-opportunity-for-goldman-sachs-concerns-over-cvs-setback-are-overblown-analysts-say">first-quarter earnings estimates. </a>
But a glimmer of hope lies ahead, as June historically stands out as the drugmaker's best month of the year.
Shares of Eli Lilly are down 19% in May, pacing for their worst monthly performance since February 2009. However, the underperformance compared to the broader market has been even more severe.
The stock has lagged the S&amp;P 500 Index by 23.8% this month — the steepest relative decline since August 2000 and the second-largest since the company went public in 1970.

<h3 class="wp-block-heading">What Sparked The Selloff?</h3>
The sharp move followed the company's May 1 quarterly earnings. While Lilly posted better-than-expected first-quarter results, the stock plunged 12% that day — the worst single-session drop since August 2000.
The decline was triggered by a sharp cut in the company's full-year profit forecast. Eli Lilly cited $1.57 billion in acquired in-process research and development (IPR&amp;D) charges, primarily tied to its acquisition of a cancer therapy from Scorpion Therapeutics. While sales guidance remained unchanged, full-year profit expectations were revised downward to reflect those R&amp;D costs.
For 2025, Eli Lilly projects revenue between $58 billion and $61 billion, implying a 32% year-over-year increase.
&#8220;Expect volatility, take advantage of moment of weakness, as long as there is not a new, fundamental crack in the story,&#8221; said Bank of America analyst Tim Anderson. The firm reaffirmed its 12-month price target of $1,000, suggesting a 38% upside from current levels.
<h3 class="wp-block-heading">Could June Offer Relief?</h3>
While May has battered Lilly shareholders, June has historically brought better fortune. Over the past 30 years, shares have gained an average of 2.94% during the month, according to TradingView data.
June is statistically Eli Lilly's best month, with a 67% chance of closing higher. 
Even more notable: the past five Junes have all ended in the green. The best June performance came in 2000 when the stock surged 28.1%. Only two Junes in recent history delivered double-digit losses — in 2001 and 2019, both dropping 10.6%.
There's precedent for a bounce. In 1997 and 2003, Eli Lilly dropped more than 10% in May. In both cases, shares recovered in June with gains of 3.9% and 14.1%, respectively.

Eli Lilly And Co (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/LLY#NYSE">LLY</a>) on Tuesday agreed to acquire SiteOne Therapeutics, Inc., a private biotechnology company developing small-molecule inhibitors of sodium channels to treat pain and other neuronal <a target="_blank" href="https://www.benzinga.com/general/health-care" rel="noreferrer noopener">hyperexcitability disorders</a>.
The transaction includes STC-004, a Phase 2 ready Nav1.8 inhibitor being <a target="_blank" href="https://www.benzinga.com/pressreleases/25/05/n45618809/lilly-to-expand-its-pain-pipeline-with-acquisition-of-siteone-therapeutics" rel="noreferrer noopener">studied for pain</a>.
STC-004 may represent a next-generation, non-opioid treatment for patients suffering from chronic pain.

Analysts expect Nvidia to report first-quarter earnings per share of 88 cents, up from 61 cents per share in last year's first quarter. The company has beaten analyst estimates for earnings per share in nine straight quarters.

 What Experts Are Saying: Nvidia stock could be flat to down heading into the earnings report due to macro uncertainty and a ban on the H20 AI chip in China, Piper Sandler analyst Harsh Kumar said in a new investor note ahead of Q1 results.
"The new re-spun China chip will likely be commercialized in the late part of the July quarter, which could also impact July's guide," he said, reiterating an Overweight rating and $150 price target on Nvidia.
Kumar said most of the factors that could hurt Nvidia's first quarter are outside the company's control. The analyst sees a strong back half of the year coming for Nvidia with macro forces improving.
"We advise investors to weather the uncertainty and stay long the stock as this is likely largely the last wave of negative news for NVDA this year."
Freedom Capital Markets Chief Global Strategist Jay Woods said there are three main things investors will be watching and listening for in Nvidia's report.
Woods called Nvidia "the poster child for all that is AI."
Woods said the three things that will be most watched are sales of the Blackwell chip, the export restrictions on China, and guidance.
"Government restrictions have limited Nvidia's ability to export certain AI chips, like the H20, to China, potentially affecting revenue," Woods said in his weekly <a href="https://jaywoods.substack.com/">newsletter</a>.
The market strategist said investors will be looking at Nvidia's guidance to see how the giant can navigate this setback, including potential new, compliant chip variants for the Chinese market.
After a history of raising projections for future earnings, Woods questions if the trend can continue given the growth concerns, global competition, and inflation concerns Nvidia faces.

Key Items to Watch: Nvidia has shown huge year-over-year and quarter-over-quarter growth in recent years. With another record quarter predicted by analysts, guidance will become increasingly important.
The company posted a 12% quarter-over-quarter sales increase in<a href="https://www.benzinga.com/news/earnings/25/02/43991607/nvidia-q4-earnings-highlights-revenue-beat-eps-beat-demand-for-blackwell-is-amazing"> the fourth quarter</a>, with sales up 78% year-over-year. Given the tougher comps, triple-digit growth is likely gone, and eventually, this growth forecast could continue to fall.
Data Center segment revenue hit another record in the fourth quarter, with $35.6 billion, up 93% year over year.
The fourth quarter saw Data Center carry the company with Gaming &amp; AI PC segment revenue down 11% year-over-year and Professional Visualization revenue up 10% year-over-year. The company's automotive segment saw strong overall year-over-year growth of 103% in the quarter, but it was the smallest segment by revenue ($570 million).
Another area to watch could be any talk about competition. Chip competitor AMD <a href="https://www.benzinga.com/25/05/45550527/amd-takes-on-nvidia-stock-with-direct-shot-at-gpus-reviewer-says-rx-9060-could-hit-the-bullseye">recently unveiled the</a> Radeon RX 9060 XT and Radeon AI Pro R9700 graphics cards. The new graphics cards will bring AI capabilities to workstations and gamers worldwide and increase AMD's competition with Nvidia.
Tech reviewer Tom&#8217;s Guide&nbsp;<a href="https://www.tomsguide.com/computing/gpus/amds-radeon-rx-9060-xt-is-a-direct-shot-at-nvidias-rtx-5060-heres-why-i-think-it-will-hit-the-bullseye" target="_blank" rel="noreferrer noopener">said&nbsp;</a>the RX 9060 XT's release is a &#8220;direct shot&#8221; at Nvidia&#8217;s RTX 5060. The reviewer believes AMD&#8217;s product could &#8220;hit the bullseye&#8221; in the competitive race.
While Nvidia likely won't comment on the competition, it could provide keywords and highlight how its products are the best on the market.
Another area to watch with Nvidia's stock report will be if other peer companies go higher or lower on the news. Nvidia's post-earnings move will also have a large impact on several of the most-watched stock market indexes and ETFs.
Nvidia is the second-largest holding of the SPDR S&amp;P 500 ETF Trust (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/SPY#NYSE">SPY</a>), with a 6.5% weighting. A sharp decline in Nvidia's stock price due to guidance could send the overall S&amp;P 500 and ETFs lower on the week.
Nvidia is the second-largest holding of the Invesco QQQ Trust (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/QQQ#NASDAQ">QQQ</a>), with an 8.3% weighting.
The stock is also a member of the Dow Jones Industrial Average, but due to the index being price-weighted, it makes up a smaller percentage and holding in ETFs, like being the 23rd largest holding in the SPDR Dow Jones Industrial Average ETF (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/DIA#NYSE">DIA</a>) and 1.9% of assets.
NVDA Price Action: Nvidia stock was up 3.2% to $135.44 on Tuesday, versus a 52-week trading range of $86.63 to $153.13. However, it is down 2.2% year-to-date in 2025, while shares have increased over 18% in the last year.

<h2 class="wp-block-heading">Strategic Growth Amid Industry Slowdown</h2>
While fintech startups exploded in valuation post-pandemic, many are now facing investor fatigue. According to Reuters, persistently high interest rates, recession concerns, and geopolitical volatility have forced many firms to delay fundraising or accept lower terms.
Airwallex has bucked that trend since its 11% increase in valuation from the previous round in 2022 is a signal of both operational strength and investor confidence. The company now counts industry giants like Shein, Qantas, and Xero among its client base, Reuters says.
CEO Jack Zhang told Reuters that more than 70% of the company's net revenue now comes from online payment processing and spend management, rather than just cross-border infrastructure.
The diversification strategy appears to be paying off. Zhang emphasized in the company&#8217;s announcement that Airwallex is no longer just a cross-border payments solution, but a broader financial operating system for modern businesses.

Airwallex is also doubling down on global expansion. The company said it opened its U.S. headquarters in San Francisco last year and recently opened new offices in New York, Toronto, and Paris. According to Reuters, the startup is joining other payment providers competing with major players like JPMorgan Chase (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/JPM#NYSE">JPM</a>), Bank of America (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/BAC#NYSE">BAC</a>), and Citigroup (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/C#NYSE">C</a>).
In addition to its growing presence in North America, Airwallex is targeting Japan, South Korea, and Latin America as core areas for future growth.
