The Fund is an exchange-traded fund. The Fund seeks to achieve its investment objective by attempting to track the investment results of the Underlying Index, which is maintained and calculated by Solactive AG. The Underlying Index is designed to select securities from the Solactive US Broad Market Index that exhibit certain yield and fundamental value characteristics. The Parent Index includes large, mid- and small-cap securities listed in the U.S., including approximately the 3,000 largest U.S. companies that are selected and weighted according to free float market capitalization. The Parent Index is adjusted semi-annually in May and November. Issuers undergoing initial public offerings may be added to the Parent Index on a quarterly basis, consistent with the Parent Indexs selection methodology.

Home furnishing brand The Lovesac Company (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/LOVE#NASDAQ">LOVE</a>) shares are <a href="https://www.benzinga.com/premarket">surging in premarket on Thursday</a>, after the fourth-quarter earnings.
The company reported a <a href="https://www.benzinga.com/pressreleases/25/04/g44730835/the-lovesac-company-reports-fourth-quarter-and-fiscal-2025-financial-results">fourth-quarter FY25 revenue decline </a>of 3.6% year-on-year to $241.490 million, beating the analyst consensus estimate of $233.954 million.
Gross profit decreased 2.6% Y/Y to $145.8 million, with the margin expanding 70 basis points to 60.4%. Total comparable sales declined 9.4%. Internet sales dropped 9.7% in the quarter.
Total operating expenses fell 10.1% Y/Y to $98.2 million. The operating income increased 17.8% to $47.6 million and the operating margin expanded 360 basis points to 19.7%.

Adjusted EBITDA increased 11.4% Y/Y to $53.9 million. EPS of $2.13&nbsp;<a href="https://www.benzinga.com/earnings">topped the consensus </a>of $1.87.
As of July 30, 2023, Lovesac held $54.7 million in cash and equivalents. Net cash provided by operating activities during the quarter totaled $44 million.
&#8220;After a slow start to the holiday selling season, strong execution by our teams dramatically improved conversion of customer quotes to sales throughout the remainder of the fourth quarter. This supported a mid-teens year-over-year increase in net income for the quarter and helped close out another year of market share gains for full year Fiscal 2025,&#8221; said CEO Shawn Nelson.
Lovesac appointed Heidi Cooley as <a href="https://www.benzinga.com/pressreleases/25/04/g44730896/the-lovesac-company-appoints-heidi-cooley-as-chief-brand-and-marketing-officer">Chief Brand and Marketing Officer</a>, effective April 23, 2025. 
Outlook: For the first quarter Lovesac sees EPS of $(0.66) &#8211; $(0.85) versus the Street view of $(0.77) and sales of $136 million &#8211; $142 million against the estimate of $138.60 million.
The company expects FY26 EPS of $0.80 &#8211; $1.36 versus the estimate of $1.10 and sales of $700 million &#8211; $750 million versus the estimate of $713.05 million.
Price Action: LOVE shares traded higher by 16.38% at $18.54 in premarket at last check Thursday.

United States Steel Corp (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/X#NYSE">X</a>) shares are facing selling pressure on Thursday after President Donald Trump suggested he doesn't want to see the company get <a href="https://www.benzinga.com/markets/commodities/25/04/44679320/us-steel-gains-16-as-trump-orders-review-of-nippon-steels-blocked-acquisition-amid-national-security-concerns" target="_blank" rel="noreferrer noopener">acquired by Nippon Steel</a>.
What To Know: In a <a href="https://www.youtube.com/watch?v=qr9AeMFXzpY" target="_blank" rel="noreferrer noopener">press conference</a> from the Oval Office after the market close on Wednesday, Trump told reporters he wants U.S. Steel to remain a U.S. company. 
"We don't want to see it go to Japan. You know, we love Japan, but U.S. Steel is a very special company," Trump said.
U.S. Steel and Nippon Steel filed lawsuits in January after the Biden administration blocked Nippon&#8217;s proposed $14.9-billion acquisition of U.S. Steel, originally announced at the end of 2023. The companies claimed &#8220;wrongful interference&#8221; with the planned takeover deal. 
The Biden administration said last year that it was <a href="https://www.benzinga.com/news/24/07/39613777/amid-opposition-from-biden-and-workers-nippon-steel-vc-returns-to-discuss-us-steel-acquisition" target="_blank" rel="noreferrer noopener">"vital"</a> that U.S. Steel remained a domestically operated American steel company. The proposed acquisition had become a major topic of discussion leading up to the presidential election in November.
U.S. Steel shares surged earlier this week after Trump ordered a <a href="https://www.benzinga.com/markets/commodities/25/04/44679320/us-steel-gains-16-as-trump-orders-review-of-nippon-steels-blocked-acquisition-amid-national-security-concerns" target="_blank" rel="noreferrer noopener">national security review</a> of the company's blocked deal with Nippon Steel. The stock reversed course following Trump&#8217;s comments late Wednesday. 
"If you go back to U.S. Steel from 90 years ago, it&#8217;s incredible. It was the number one company in the world for a long time. That's why we don't want to see it go to Japan,&#8221; Trump said.

Red Cat Holdings Inc (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/RCAT#NASDAQ">RCAT</a>) shares are moving lower Thursday after the company announced a $30 million registered direct offering <a href="https://www.benzinga.com/pressreleases/25/04/g44730836/red-cat-holdings-announces-30-million-registered-direct-offering-of-common-stock">of its common stock</a>. 
What Happened: Before the market open on Thursday, Red Cat announced it entered into securities purchase agreements with institutional investors for the purchase and sale of approximately 4.72 million shares of common stock. 
The drone technology company anticipates gross proceeds of approximately $30 million. The offering is expected to close on or about April 11. 
Red Cat said it intends to use the net proceeds from the offering for general corporate purposes. The company had $9.6 million in cash and accounts receivable as of the end of 2024. When Red Cat reported financial results last month, the company noted that it closed on an additional $6 million in financing since the reporting period ended.

Topgolf Callaway Brands Corp. (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/MODG#NYSE">MODG</a>) <a href="https://www.benzinga.com/pressreleases/25/04/n44729290/topgolf-callaway-brands-announces-agreement-to-sell-jack-wolfskin-to-anta-sports">agreed to divest</a> its Jack Wolfskin unit to Chinese sportswear maker ANTA Sports for $290 million in cash.
The transaction is expected to be completed in the second quarter or early third quarter of 2025.
 &#8220;This sale will allow us to increase our focus and optimize our resources on our core business. Last year, Topgolf&#8217;s board revealed plans to split its operations, aiming to separate the Callaway and Topgolf divisions. The company intends to separate by spinning off the Topgolf segment to its shareholders.
While Topgolf Callaway has not updated its fiscal outlook following the deal, the company<a href="https://www.benzinga.com/pressreleases/25/02/n43926091/topgolf-callaway-brands-announces-fourth-quarter-and-full-year-2024-results"> had earlier forecast Jack Wolfskin </a>to generate roughly 325 million euros ($359.64 million) in revenue for the full year 2025. 
This included an anticipated adjusted EBITDA of 12 million euros. The brand's performance is expected to remain seasonal, with an adjusted EBITDA loss of 18 million euros in the first half offset by an adjusted EBITDA of 30 million euros in the latter half.
Topgolf Callaway enlisted Goldman Sachs as its financial advisor for the deal, with Latham &amp; Watkins LLP providing legal counsel.
The company held $445 million in cash and equivalents as of Dec. 31.
J.P. Morgan analyst Matthew R. Boss reiterated a Neutral rating on the company&#8217;s shares and warned that Topgolf's same-venue sales will <a href="https://www.benzinga.com/analyst-ratings/price-target/25/02/43954172/topgolf-callaway-to-face-revenue-challenges-as-same-venue-sales-drop-by-8-analyst">face challenges over the next 12-18 months</a> as both corporate and consumer demand remain below normal levels.
