Toyota Motor Corporation&#8217;s (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/TM#NYSE">TM</a>) Toyota Fudosan Co., Ltd. on Tuesday announced plans to initiate a <a href="https://www.benzinga.com/topic/mobility">tender offer</a> for shares of Toyota Industries Corporation.
The company plans to take Toyota Industries private, with Toyota Fudosan investing around 180 billion Japanese yen ($1.26 billion).
The company said <a href="https://global.toyota/en/newsroom/corporate/42882940.html">this</a> move is part of a broader effort to accelerate the group&#8217;s transformation into a comprehensive &#8220;mobility company.&#8221;

Also, Akio Toyoda, chairman of Toyota Motor Corporation, intends to contribute 1 billion yen (around $7.0 million), and Toyota Motor plans to invest approximately 700 billion yen ($4.9 billion) in non-voting preferred shares.
These investments are intended to be funded by reinvesting a portion of the proceeds from the sale of Toyota Industries shares, which were held by Toyota Fudosan, Akio Toyoda, and Toyota Motor since Toyota Industries&#8217; initial listing.
The streamlining of the ownership structure, particularly around Toyota Industries, will allow the company to operate more agilely and focus on innovation in logistics and goods movement.
Toyota Industries is focusing on the development of autonomous technologies for logistics equipment such as forklifts, logistics management software, and environmentally friendly powertrains, and it will work on utilization of data related to the movement of goods, the company said.
The streamlining will be achieved by taking Toyota Industries private through a new holding company structure, funded by key Toyota entities and leadership, while also unwinding most of the existing cross-shareholdings involving Toyota Industries. Toyota Motor will retain a significant, but non-voting, stake.
As part of this strategic restructuring, Toyota Motor Corporation, AISIN Corporation, DENSO CORPORATION, and Toyota Tsusho Corporation will sell their existing shares in Toyota Industries.
Concurrently, these four companies will repurchase their own shares that are currently held by Toyota Industries; this will be accomplished through tender offers for their respective treasury shares.
This series of transactions is designed to dissolve the complex cross-shareholding relationships that exist between Toyota Industries and these four entities.
However, an exception will be made for Toyota Motor Corporation, which will retain an investment in Toyota Industries by holding non-voting preferred shares in the newly established holding company.
This move is part of an ongoing review of capital relationships within Toyota Group (since FY2023) to ensure continued growth and competitiveness. The aim is to find the optimum formation for Toyota Group as a mobility company.

	The Deal:

	GE (NYSE: <a class="ticker" href="/stock/ge#NYSE">GE</a>) and Baker Hughes (NYSE: <a class="ticker" href="/stock/bhi#NYSE">BHI</a>) announced Monday, that the companies have entered into an agreement to combine GE&#39;s oil and gas business with Baker Hughes to create a company with $32 billion of combined revenue and operations. Under the terms of the agreement, Baker Hughes shareholders will receive a special one-time cash dividend of $17.50 per share and 37.5% of the new company, while GE will own 62.5% of the company.

	The transaction is expected to close in mid 2017.

	Baker Hughes closed at $55.40 on Monday, down 6.29%.

	Century Link to Acquire Level 3 Communications for $66.50/Share in Cash, Stock

	The Deal: 
	CenturyLink (NYSE: <a class="ticker" href="/stock/ctl#NYSE">CTL</a>) and Level 3 Communications, Inc. (NYSE: <a class="ticker" href="/stock/lvlt#NYSE">LVLT</a>) announced Monday, that their Boards of Directors have unanimously approved a definitive merger agreement under which CenturyLink will acquire Level 3 for $26.50 per share in cash and 1.4286 shares of CenturyLink stock for each Level 3 share they own, or $66.50 per Level 3 share in cash and stock.

	The transaction is expected to close by the end of Q3 2017.

	The Deal: 
	SunCoke Energy, Inc. (NYSE: <a class="ticker" href="/stock/sxc#NYSE">SXC</a>) announced Monday, that it has submitted a proposal to the Board of Directors of the general partner of SunCoke Energy Partners, L.P. (NYSE: <a class="ticker" href="/stock/sxcp#NYSE">SXCP</a>) to acquire all of SXCP&#39;s common units not already owned by SXC, in exchange for approximately 1.65 new shares of SXC common stock for each SXCP common unit.

Merger mania is at its feverish pitch. Not a single day passes without news on either some announced deal or whispers of a potential combination. Twitter Inc (NYSE: <a class="ticker" href="/stock/twtr#NYSE">TWTR</a>) has now become the butt of M&amp;A jokes, as it is perennially in the news concerning one or another company purportedly being interested in it. Given the abounding M&amp;A news, it becomes pertinent to look back at October to see how the month has progressed.
<h3>Deal Value At Record</h3>
Estimates released by <a href="http://www.dealogic.com/">Dealogic </a>show a record $251 billion worth of deals announced in October, up from the previous record of $240 billion in July 2015, according to a <a href="http://www.usnews.com/news/business/articles/2016-10-28/companies-set-monthly-record-for-mergers-acquisitions">US News article</a> referencing the Associated Press.
<h3>Some M&amp;A Deals Announced In October</h3>

<li>AT&amp;T Inc. (NYSE: <a class="ticker" href="/stock/t#NYSE">T</a>) announces an agreement to buy media giant Time Warner Inc (NYSE: <a class="ticker" href="/stock/twx#NYSE">TWX</a>) in a $85 billion deal.</li>

<h3>Global Tech M&amp;A On A Roll </h3>
Dealogic noted that global technology M&amp;A volume at $530.5 billion in the year-to-date period is the second highest annual total, trailing only the 2015 volume of $692.4 billion. Global semiconductors-targeted M&amp;A volume hit an annual high of $127.1 billion in 2016, up 13 percent from the previous record of $112.2 billion set in 2015, Dealogic said.
<h3>Some Ditched Deals</h3>

Pfizer Inc. (NYSE: <a class="ticker" href="/stock/pfe#NYSE">PFE</a>) called off its deal with Allergan plc Ordinary Shares (NYSE: <a class="ticker" href="/stock/agn#NYSE">AGN</a>) in April this year, citing the new rules of the Treasury called inversions, which took a shot at companies seeking to cut taxes through M&amp;A route. This scuttled a $160 billion-deal in the making.
In May this year, Halliburton Company (NYSE: <a class="ticker" href="/stock/hal#NYSE">HAL</a>) had to abandon its offer for Baker Hughes, as it was not able to scale regulatory hurdles in several continents due to <a href="http://www.investopedia.com/terms/a/antitrust.asp">anti-trust </a>concerns involved. The deal was valued at $35 billion.
<h3>What Influences The M&amp;A Wave?</h3>
Companies usually look at M&amp;A as a means of expanding market share or entering into new markets and verticals without having to make substantial investments. Usually, this happens when companies see their sales and profits sagging for want of new investment opportunity.
The low interest rate environment that prevails currently in the wake of expansionary policies pursued by the global central banks also provides an avenue for cheap financing, giving them the leeway to chase deals.
That said, anti-trust concerns is a major deterrent, as governments try to protect sovereignty, citizens, shareholders and consumers from a monopolizing environment.
Thus, companies make hay when the sun shines, creating ripples on the M&amp;A front. With two more months to go, the year 2016 might take honor of being the sweet spot in deal activity.

October 2016 Sets Record For M&A At $251 Billion

The healthcare facility space lost one of its 10 largest players on Monday when Blackstone Group LP (NYSE: <a class="ticker" href="/stock/bx#NYSE">BX</a>) announced a <a href="http://www.wsj.com/articles/blackstone-to-acquire-team-health-for-about-3-2-billion-1477916987">$3.2 billion buyout</a> of TeamHealth Holdings Inc (NYSE: <a class="ticker" href="/stock/tmh#NYSE">TMH</a>). News of the deal sent TeamHealth shares climbing 16.3 percent in early Monday trading.
