President Donald Trump wants a U.S. sovereign wealth fund to buy TikTok&#8216;s U.S. business. That&#8217;s a bit like suggesting that a college student who is knee-deep in loans save up for a private jet. U.S. debt is exorbitant and the Trump administration is (they say) <a href="https://www.benzinga.com/news/25/03/44143475/trumps-u-s-doge-service-claims-65b-in-savings-experts-call-it-smoke-and-mirrors-amid-resignations">focused on reducing it</a>. However, <a href="https://www.reuters.com/markets/wealth/dealmaker-michael-grimes-expected-lead-new-us-sovereign-wealth-fund-sources-say-2025-03-05/?utm_source=newsletter&amp;utm_medium=email&amp;utm_campaign=newsletter_axiosprorata&amp;stream=top">Reuters</a> is reporting that Morgan Stanley&#8216;s Michael Grimes, who helped steer the Uber IPO and the Twitter takeover, is overseeing the formation of a sovereign wealth fund for Uncle Sam. But with TikTok&#8217;s April 5 deadline looming, time is of the essence. Tick tock. Pun intended.
Sure, a deal could get signed by then, but each passing day makes it feel more like a Hail Mary pass—except this time, instead of catching a football, the U.S. is hoping to catch a lip-syncing, trendsetting social media giant.
Meanwhile, Onsemi (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/ON#NASDAQ">ON</a>) upped its bid for Allegro MicroSystems, Inc. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/ALGM#NASDAQ">ALGM</a>) to acquire the company for $35.10 per share, valuing the deal at $6.9 billion. This represents an increase over an initial $34.50 per share proposal submitted on Sept. 2.
<h2 class="wp-block-heading">Off The Block</h2>
American Express (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/AXP#NYSE">AXP</a>) agreed to acquire Bellevue, Wash.-based Center, according to <a href="https://www.bloomberg.com/news/articles/2025-03-06/american-express-to-acquire-expense-management-company-center?srnd=phx-deals">Bloomberg</a>. Center is a software provider backed by Durable Capital Partners, Top Tier Capital Partners and Mango Capital.
<h2 class="wp-block-heading">Bankruptcy Block</h2>
Canoo, the electric vehicle startup that never quite got rolling, is getting a reboot—from its own CEO, no less. Anthony Aquila is buying nearly all of Canoo's assets out of bankruptcy for $4 million in cash, per <a href="https://techcrunch.com/2025/03/05/canoos-ceo-is-buying-the-bankrupt-ev-startups-assets/">TechCrunch</a>. The sale is expected to erase the $11 million debt Canoo owes to a financial firm&#8230; conveniently run by Aquila himself. Canoo filed for Chapter 7 liquidation just six weeks ago. Government contracts with NASA and the Department of Defense bore little fruit. The startup has roughly $145 million in assets but $175 million in liabilities. Now, other buyers can still throw their hats in the ring before March 28.
<h2 class="wp-block-heading">Notes From The Block</h2>
So much for the wave of M&amp;A dealmakers expected with Trump&#8217;s <a href="https://www.benzinga.com/analyst-ratings/analyst-color/24/11/41979935/golden-years-for-ma-deals-ahead-under-trump-analysts-highlight-top-10-large-cap-candidates">return to the White House</a>. 
They banked on <a href="https://in.benzinga.com/news/25/02/44045159/trumps-plan-to-rein-in-regulators-could-erode-market-trust-says-2-3-trillion-asset-manager">looser regulations</a> and a more <a href="https://www.benzinga.com/25/03/44197558/whats-moving-markets-friday">vibrant stock market</a>. So far, neither scenario has come to fruition. According to Dealogic, U.S.-based M&amp;A volume is down about 29% compared to this timeframe in 2024. 
Consider the Federal Trade Commission&#8217;s (FTC) latest move. The agency, with a Trump appointee at the helm, is throwing a wrench into a private equity firm's plan to acquire Surmodics Inc (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/SRDX#NASDAQ">SRDX</a>), a company that specializes in drug delivery and in vitro diagnostic technologies.
The buyer, GTCR, already owns Biocoat, a Surmodics rival. Owning both would give them over 50% market control and the ability to squash competition. And the cost of the tech would indeed hurt the consumer. Since it's unlikely a new competitor would rise to challenge the dynamic duo of Biocoat and Surmodics, the FTC has taken the matter to court in the Northern District of Illinois.
For those surprised that the Trump administration isn&#8217;t letting this merger slide, recall his first term when the Department of Justice blocked deals between AT&amp;T and Time Warner; Sinclair and Tribune Media; Broadcom and Qualcomm as well as DraftKings and FanDuel.

Deal Dispatch: Clock Ticks On TikTok, Raizen Explores Asset Sale, Investors Urge Walgreens To Go Private

Surmodics, Inc. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/SRDX#NASDAQ">SRDX</a>) shares are <a target="_blank" href="https://www.benzinga.com/premarket" rel="noreferrer noopener">trading lower in the premarket session on Friday.</a>
The firm&#8217;s stock dipped following news that the U.S. Federal Trade Commission will challenge the proposed acquisition by funds <a target="_blank" href="https://www.benzinga.com/pressreleases/25/03/b44183928/surmodics-issues-statement-on-u-s-federal-trade-commission-challenge-to-proposed-acquisition-of-su" rel="noreferrer noopener">affiliated with private equity firm GTCR LLC.</a>
GTCR has an equity investment in Biocoat Inc., a medical coatings manufacturer, which raised concerns for the FTC.
&#8220;The FTC charges that private equity firm GTCR's proposed acquisition of Surmodics would create a combined company controlling more than 50% of the market for outsourced hydrophilic coatings. These coatings are often used by medical device manufacturers and are applied to lifesaving medical devices such as catheters and guidewires,&#8221; the regulatory body said in a <a href="https://www.ftc.gov/news-events/news/press-releases/2025/03/ftc-challenges-medical-device-coatings-deal">release</a>.
The FTC's complaint argues that making hydrophilic coatings requires specialized expertise and significant investment and many OEMs prefer outsourcing to established companies like Biocoat and Surmodics.
After the merger, it's unlikely a new competitor could challenge GTCR and Surmodics.
In response to the FTC&#8217;s announcement, Surmodics issued a statement expressing its disagreement with the agency&#8217;s decision.
The company emphasized its commitment to completing the merger and remains confident in the deal&#8217;s potential to benefit all stakeholders, including shareholders, customers and patients.

The FTC&#8217;s complaint particularly states that GTCR's acquisition of Surmodics would raise market concentration in the hydrophilic coatings sector, which already has few competitors, violating the 2023 Merger Guidelines.
However, Surmodics said it has worked closely with the FTC for months to secure regulatory approval and voiced disappointment over the agency&#8217;s move to initiate litigation.
The company asserts that the merger is &#8220;pro-competitive&#8221; and says intends to vigorously defend the case in court.
Surmodics entered into a definitive <a href="https://www.benzinga.com/m-a/24/05/39066034/why-is-medical-coating-specialist-surmodics-trading-higher-on-wednesday">merger agreement with GTCR on May 29, 2024.</a>
Under the terms of the deal, GTCR will acquire all outstanding shares of Surmodics for $43.00 per share, resulting in an equity valuation of approximately $627 million.
The transaction is expected to be financed through a combination of equity and debt financing from GTCR.
If completed, Surmodics will become a privately held entity and its shares will no longer be listed on the Nasdaq Global Select Market. Shareholders approved the merger on August 13, 2024.

Why Surmodics Stock Is Falling On Friday

Surmodics, Inc. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/SRDX#NASDAQ">SRDX</a>), a provider of medical device and in vitro diagnostic technologies to the healthcare industry, today provided the following statement in response to the U.S. Federal Trade Commission's ("FTC" or the "Agency") announcement that it will challenge the proposed acquisition of Surmodics (the "Merger") by funds affiliated with GTCR LLC ("GTCR"), which have an equity investment in Biocoat Inc., a maker of medical coatings:

On May 29, 2024, Surmodics announced it had entered into a definitive merger agreement to be acquired by funds affiliated with GTCR, a leading private equity firm with a long track record of investment expertise across healthcare and healthcare technology. Under the terms of the merger agreement, an affiliate of GTCR will acquire all outstanding shares of Surmodics. Surmodics shareholders will receive $43.00 per share in cash, for a total equity valuation of approximately $627 million. The transaction will be financed through a combination of committed equity from funds affiliated with GTCR and committed debt financing. Upon completion of the transaction, Surmodics will be a privately held company and its common stock will no longer be listed on The Nasdaq Global Select Market.
