On Monday, Germany-based Merck KGaA (OTC:<a class="ticker" href="https://www.benzinga.com/stock/MKGAF#OTC">MKGAF</a>) (OTC:<a class="ticker" href="https://www.benzinga.com/stock/MKKGY#OTC">MKKGY</a>) reacted to press reports and confirmed advanced discussions with SpringWorks Therapeutics Inc (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/SWTX#NASDAQ">SWTX</a>), which has a market capitalization of $4.02 billion, according to data from <a target="_blank" href="https://www.benzinga.com/pro/feature/newsfeed" rel="noreferrer noopener">Benzinga Pro</a>.
Merck Germany also <a target="_blank" href="https://www.emdgroup.com/ad-hoc/us/ad-hoc-NA-10Feb2025.pdf" rel="noreferrer noopener">confirmed</a> that no legally binding agreement has been entered into. There is no certainty that any transaction will materialize. Furthermore, critical conditions have yet to be met.
Reuters was the first to <a target="_blank" href="https://www.benzinga.com/quote/SWTX" rel="noreferrer noopener">report the potential deal</a>.
SpringWorks Therapeutics&#8217; first commercial product, Ogsiveo (nirogacestat), is a twice-daily oral medication that&nbsp;is the&nbsp;first and only&nbsp;FDA-approved&nbsp;<a target="_blank" href="https://www.benzinga.com/general/biotech/23/11/35974211/fda-approves-springworks-therapeutics-lead-therapy-as-first-for-subtype-of-soft-tissue-sarcomas" rel="noreferrer noopener">treatment for desmoid tumors.</a>
In January, rare diseases and cancer-focused SpringWorks Therapeutics reported preliminary fourth quarter and full-year 2024 U.S. net product revenue for Ogsiveo of $61.5 million and <a target="_blank" href="https://www.benzinga.com/pressreleases/25/01/g42940198/springworks-therapeutics-reports-preliminary-fourth-quarter-and-full-year-2024-financial-results-a" rel="noreferrer noopener">$172.0 million, respectively</a>.
The company is scheduled to report Q4 earnings <a target="_blank" href="https://www.benzinga.com/pressreleases/25/01/g43331898/springworks-therapeutics-to-report-fourth-quarter-and-full-year-2024-financial-results-on-thursday" rel="noreferrer noopener">on 20 February</a>.
The company&#8217;s second potential commercial product, mirdametinib (NF1-PN), for adults and children with NF1-associated plexiform neurofibromas or NF1-PN, is under FDA review with <a target="_blank" href="https://www.benzinga.com/pressreleases/25/01/g42940198/springworks-therapeutics-reports-preliminary-fourth-quarter-and-full-year-2024-financial-results-a" rel="noreferrer noopener">PDUFA of 28 February</a>.
As of 31 December 2024, total preliminary cash, cash equivalents, and marketable securities were $461.9 million. SpringWorks expects its cash position to fund operations through profitability, which the company anticipates achieving in the first half of 2026.
Citing JPMorgan analysts Reuters report added that Merck KGaA&#8217;s oncology business, making up about 25% of its healthcare sales in 2024, could benefit from acquiring SpringWorks.
The report mentions the deal would complement Merck&#8217;s existing portfolio and create growth opportunities. Additionally, SpringWorks&#8217; products have the potential to help counter revenue losses from expiring drug patents and increased competition.

Germany's Merck In Talks To Buy Cancer Drug Maker SpringWorks Therapeutics

GSK plc (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/GSK#NYSE">GSK</a>) agreed to acquire IDRx, Inc., a biopharmaceutical company focused on precision therapeutics for <a href="https://www.benzinga.com/pressreleases/25/01/b42937762/gsk-enters-agreement-to-acquire-idrx-inc" target="_blank" rel="noreferrer noopener">gastrointestinal stromal tumors (GIST)</a>, for $1 billion.
Under the agreement, GSK could pay an additional $150 million based on regulatory approval milestones.
The acquisition includes the lead molecule IDRX-42. It&#8217;s a highly selective KIT TKI being developed as a first and second-line therapy for the treatment of GIST.

GIST typically presents in the GI tract, with 80% of cases driven by mutations in the KIT gene that lead to tumor cells&#8217; growth, proliferation, and survival (primary or activating mutations).
90% of patients treated in the first-line develop new KIT mutations (secondary or resistance mutations) that typically lead to relapse with limited therapeutic options.
Currently, there are no approved TKIs that inhibit the full spectrum of clinically relevant primary and secondary mutations in KIT.
IDRX-42 has demonstrated activity against all key primary and secondary KIT mutations, designed to improve outcomes for patients with GIST.
Updated clinical data from StrateGIST 1, an ongoing phase 1/1b trial of IDRX-42 in patients with advanced GIST, were presented in an oral presentation at the Connective Tissue Oncology Society 2024 Annual Meeting.
Across patients with second-line or greater GIST, and amongst all KIT mutation subsets, the objective response rate (ORR) in the total efficacy evaluable population was 29% (n=87), including one complete response (CR) and 24 partial responses (PRs).
Among patients with one prior line of therapy, the ORR was 53% (n=15), including one CR and 7 PRs.
Across all patients, two of the PRs were awaiting confirmation at the time of the data cut, both of which were subsequently confirmed. The emerging durability data from StrateGIST 1 was also favorable. IDRX-42 was generally well-tolerated, and treatment-related adverse events (TRAEs) were mainly low-grade at the recommended phase Ib dose.
The transaction supports GSK&#8217;s ambitions for growth through 2031 and beyond.
GSK will also be responsible for success-based milestone payments and tiered royalties for IDRX-42 owed to Merck KGaA (OTC:<a class="ticker" href="https://www.benzinga.com/stock/MKGAF#OTC">MKGAF</a>) (OTC:<a class="ticker" href="https://www.benzinga.com/stock/MKKGY#OTC">MKKGY</a>) in Darmstadt, Germany.

Merck KGaA: Phase III trials of xevinapant in locally advanced head &amp; neck cancer discontinued
Darmstadt, June 24, 2024: Merck KGaA is investigating a treatment of xevinapant plus platinum-based chemotherapy (CRT), compared to placebo plus CRT, in patients with unresected locally advanced head and neck cancer in a phase III clinical trial (TrilynX). The company decided to discontinue this study. The decision follows a pre-planned interim analysis performed by the study&#39;s Independent Data Monitoring Committee, which found that the trial would be unlikely to meet its primary objective of prolonging event-free survival. Given the totality of the data, the company decided to also stop the phase III clinical trial X-Ray Vision (xevinapant plus radiotherapy, compared to placebo plus radiotherapy in patients who underwent resection of locally advanced head and neck cancer).

Investors have been unsettled regarding revenue projections due to potential liver damage associated with a specific drug category aimed at selectively targeting cells driving the adverse autoimmune response in multiple sclerosis (MS).
Despite this concern, citing some analysts, Reuters notes that Merck&#39;s drug can achieve annual peak sales well surpassing $2 billion on average.

Repligen Corporation&nbsp;(NASDAQ: <a class="ticker" href="https://www.benzinga.com/stock/rgen#NASDAQ">RGEN</a>) agreed to acquire Sweden-based privately-held&nbsp;Metenova.&nbsp;
Metenova is projected to generate revenues of $24 million to $25&nbsp;<a class="editor-rtfLink" href="https://www.benzinga.com/pressreleases/23/09/g34900749/repligen-announces-agreement-to-acquire-fluid-management-innovator-metenova" style="color:#4a6ee0; background:transparent; margin-top:0pt; margin-bottom:0pt" target="_blank">million for fiscal year 2023</a>.&nbsp;
The company recently entered the single-use mixing market with the launch of its MixOne platform, leveraging the success of its existing stainless steel (repeat-use) product line.
Metenova is expected to contribute approximately $5 million in revenue to Repligen in Q4 of 2023 and $25 million-$27 million in 2024, with 20%-25% revenue growth in 2025 forward.&nbsp;

Mersana Inks Cancer Therapy Development Deal With Merck Germany
