MAG Silver Files Management Circular Ahead Of July 10 Vote On $2.1B Pan American Acquisition Deal

On CNBC's &#8220;<a href="https://www.benzinga.com/topic/mad-money-lightning-round">Mad Money Lightning Round</a>,&#8221; Jim Cramer said Rivian Automotive, Inc. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/RIVN#NASDAQ">RIVN</a>) is better than Lucid Group, Inc. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/LCID#NASDAQ">LCID</a>).
Supporting his view, Lucid, on May 6, reported first-quarter revenue of $235.05 million, missing analyst estimates of $250 million, <a href="https://www.benzinga.com/quote/LCID/earnings">according to Benzinga Pro</a>.
Marvell Technology, Inc. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/MRVL#NASDAQ">MRVL</a>) is &#8220;right to be bought here,&#8221; Cramer said.
As per the recent news, Marvell announced on Monday that it would collaborate with Nvidia Corp (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/NVDA#NASDAQ">NVDA</a>) to offer Nvidia NVLink Fusion technology to customers employing Marvell's <a href="https://www.benzinga.com/tech/25/05/45498551/marvell-teams-up-with-nvidia-to-help-hyperscalers-scale-ai-infrastructure">custom cloud platform silicon</a>.
&#8220;You can ride it,&#8221; Cramer said when asked about Pony AI Inc. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/PONY#NASDAQ">PONY</a>). &#8220;This is a young person stock.&#8221;
On the earnings front, China-based Pony AI, on Tuesday, reported that first-quarter sales grew 11.6% year-over-year to $13.98 million (101.6 million Chinese yuan), mainly driven by rapid growth in Robotaxi services revenues. The analyst consensus estimate for sales was 90.11 million Chinese yuan.
Cramer said Pan American Silver Corp. (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/PAAS#NYSE">PAAS</a>) is the &#8220;best silver mine, so I think you've got something going there.&#8221;
As per the recent news, Pan American Silver and MAG Silver Corp. (AMEX:<a class="ticker" href="https://www.benzinga.com/stock/MAG#AMEX">MAG</a>), on May 11, disclosed a definitive deal for Pan American to acquire MAG Silver's shares through a plan of arrangement.
The Mad Money host said he can't recommend Doximity, Inc. (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/DOCS#NYSE">DOCS</a>) because that was an &#8220;unfathomable miss.&#8221;
Doximity, on May 15, guided for fiscal first-quarter revenue of $139 million to $140 million versus estimates of $143.34 million, according to Benzinga Pro. The company also forecasted full-year 2026 revenue of $619 million to $631 million versus estimates of $634.6 million.
&#8220;I think it is getting a little toppy,&#8221; Cramer said when asked about Micron Technology, Inc. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/MU#NASDAQ">MU</a>). &#8220;I sense that there is a trade here, not an investment, for the moment.&#8221;
Micron will hold its fiscal third quarter earnings conference call on Wednesday, June 25. Analysts expect the company to report quarterly earnings at $1.59 per share on revenue of $8.83 billion.

<h1 class="wp-block-heading">New On The Block</h1>
Starbucks (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/SBUX#NASDAQ">SBUX</a>) is brewing up some big decisions for its China business, including a potential stake deal that could <a href="https://www.benzinga.com/markets/equities/25/05/45428678/starbucks-explores-stake-sale-in-china-business-valued-at-billions-amid-sluggish-growth-intense-competition-from-likes-of-luckin-coffee-report">fetch several billion dollars</a>. 
The coffee giant has been quietly chatting with tech firms and private equity players, hoping someone might want a sip of its 7,750-store China portfolio. 
But with local rival Luckin Coffee chugging ahead — pulling in $1.2 billion last quarter versus Starbucks' $740 million — the cold truth is the Seattle-based company is having trouble navigating the market.
And it&#8217;s not alone. McDonald's and Yum! Brands both sold <a href="https://www.benzinga.com/general/restaurants/25/05/45360322/restaurant-stocks-rebound-as-us-china-tariff-truce-offers-sector-relief-whats-going-on" target="_blank" rel="noreferrer noopener">stakes in their China operations</a>.
As for Starbucks, the franchise&#8217;s stock price has cooled faster than an unattended latte. It&#8217;s down 25% since February. Meanwhile, Wall Street is not impressed, as Starbucks missed earnings estimates and <a href="https://www.benzinga.com/25/04/45104438/starbucks-stock-tumbles-on-q2-earnings-ceo-says-progress-is-happening-below-the-surface">reported a global sales dip</a>.

<li>Charter Communications (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/CHTR#NASDAQ">CHTR</a>) <a href="https://www.benzinga.com/trading-ideas/movers/25/05/45465922/charter-seals-34-5-billion-cox-merger-deal-creating-powerhouse-to-battle-streaming-wireless-rivals">agreed to acquire</a> Cox Communications from Cox Enterprises for about $34.5 billion. Axios first reported the deal. Charter seeks to create the largest U.S. cable TV and broadband provider by subscribers, surpassing Comcast Corp (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/CMCSA#NASDAQ">CMCSA</a>). It will also take on significant debt — about $12 billion worth. The combined entity will be called Cox Communications and will retain the Spectrum brand for consumers. Simultaneously, Charter will complete its all-stock acquisition of Liberty Media, announced last fall.</li>

<li>Venture capitalists are catching a piece of the San Francisco 49ers. The football franchise is divesting a 6% stake at an $8.5 billion valuation. The buy side includes Vinod Khosla of Khosla Ventures; Byron Deeter of Bessemer Venture Partners and Will Griffith of Iconiq. The deal will require approval at one of the NFL's owners meetings, <a href="https://www.bloomberg.com/news/articles/2025-05-15/nfl-s-49ers-to-sell-stakes-at-record-8-5-billion-valuation?srnd=phx-deals&amp;sref=TBDibEcD">per</a> Bloomberg.</li>

<li>Adam Waterous is turning up the heat in the oil sands drama. The Canadian oil baron&#8217;s Strathcona Resources plans to take a C$6 billion ($4 billion) bid for MEG Energy straight to shareholders, according <a href="https://www.bloomberg.com/news/articles/2025-05-16/waterous-strathcona-to-make-takeover-bid-for-meg-energy?srnd=phx-deals&amp;sref=TBDibEcD">to</a> Bloomberg. Previously, MEG's board gave Waterous the cold shoulder. The offer, about C$23.27 per share, will hit the official paperwork trail within two weeks. If successful, it would be another feather in Waterous' hard hat after years of deal-making. On the same day, Strathcona also announced it's unloading its Montney shale assets for C$2.8 billion. </li>

<li>Dick's Sporting Goods (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/DKS#NYSE">DKS</a>) is lacing up to buy Foot Locker (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/FL#NYSE">FL</a>) for about $2.4 billion. It's the second major footwear <a href="https://www.benzinga.com/personal-finance/25/05/45338051/skechers-set-to-go-private-amidst-tariff-drama-hopes-new-partnership-will-enable-the-companys-long-term-growth">deal this month</a>, hot on the heels of 3G Capital's $9 billion Skechers buy. While Foot Locker brings 2,400 smaller, urban stores to the table, Dick's offers around 800 <a href="https://www.benzinga.com/news/earnings/25/05/45435748/dicks-sporting-goods-to-acquire-foot-locker-at-66-premium">suburban big-box behemoths</a>. </li>

<h1 class="wp-block-heading">Off The Block</h1>
<ul class="wp-block-list">
<li>Robinhood Markets Inc. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/HOOD#NASDAQ">HOOD</a>) wants to acquire Canadian crypto trading platform WonderFi Technologies in an all-cash deal valued at approximately C$250 million ($178.9 million). The deal will be executed through a statutory plan of arrangement, with Robinhood acquiring all outstanding WonderFi common shares. WonderFi's largest shareholder, Mogo, which owns roughly 82 million shares, has already signed a voting support agreement in favor of the transaction. Other directors, officers and shareholders holding about 28% of WonderFi's outstanding shares have also <a href="https://www.benzinga.com/news/global/25/05/45390595/robinhood-shares-jump-nearly-10-following-acquisition-deal-for-wonderfi-whats-going-on">agreed to support the deal</a>.</li>

<h1 class="wp-block-heading">Bankruptcy Block</h1>

<li>Consider it a tough prescription for survival: Rite Aid will have less retail square footage, but hopefully fewer financial headaches now that it filed for bankruptcy. About 115 stores will close as part of its ongoing Chapter 11 plan. After <a href="https://restructuring.ra.kroll.com/RiteAid2025/Home-Index">filing</a> earlier this month, the pharmacy chain initially revealed 47 store closures, then added 68 more in a May 9 court filing. That brings the total to nearly 10% of its 1,240 locations, spread across 10 of the 15 states it operates in. </li>
<li>Bayer AG is making another attempt to weed out its legal troubles over Roundup, the popular herbicide linked to cancer in thousands of lawsuits. The company is trying to settle many cases in Missouri state court, but is also prepping a backup plan: putting Monsanto — the U.S. maker of Roundup — into bankruptcy. According <a href="https://www.wsj.com/articles/bayer-seeks-new-roundup-settlement-while-exploring-monsanto-bankruptcy-35bf28de">to</a> the Wall Street Journal, Bayer has brought in restructuring pros from Latham &amp; Watkins and AlixPartners to explore options. Bayer bought Monsanto in 2018 for $63 billion. A San Francisco jury quickly found Monsanto liable for a man's cancer, setting off years of litigation. Bayer insists Roundup is safe, citing EPA reviews, but the lawsuits have taken their tollv—vso much so that the company has warned it might stop making the product altogether. Its stock has dropped about 75% since the Monsanto deal.</li>

<li>Li-Cycle Holdings Corp (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/LICY#NYSE">LICY</a>) is filing for creditor protection in Canada and Chapter 15 bankruptcy in the U.S. It's now planning a court-supervised garage sale for its assets. One potential buyer? Mining giant Glencore ADR (OTC:<a class="ticker" href="https://www.benzinga.com/stock/GLNCY#OTC">GLNCY</a>), which has agreed to bid at least $40 million for some of the Lithium-ion battery recycler&#8217;s assets.</li>

<h1 class="wp-block-heading">On The Deal Hunt</h1>
Today, Benzinga spotlights Capstone Holding Corp. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/CAPS#NASDAQ">CAPS</a>). The company&#8217;s shares were up 46.34% at last check Friday, trading at about $2.40.

The Illinois-based building materials distributor reaffirmed its 2025 goals of $100 million in revenue and $10 million in adjusted EBITDA, fueled by steady growth and M&amp;A shopping sprees. 
CEO Matthew Lipman says the company is on track to double in size, snapping up deals at 4–6x EBITDA with up to 45% paid in non-cash consideration.
Capstone's Instone unit held strong and continues to push proprietary products with names such as Toro and Pangea.
The company also locked in a flexible equity credit line, but promises to only use it for deals i<a href="https://www.benzinga.com/25/05/45468192/capstones-big-swing-on-acquisitions-sends-shares-soaring">mmediately accretive to earnings</a>.

Deal Dispatch: Starbucks Eyes China Sell-Off, Li-Cycle Powers Down, VCs Tackle 49ers Stake

Pan American Silver Corp. (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/PAAS#NYSE">PAAS</a>) and MAG Silver Corp. (AMEX:<a class="ticker" href="https://www.benzinga.com/stock/MAG#AMEX">MAG</a>) disclosed a definitive deal for Pan American to acquire MAG Silver&#8217;s <a target="_blank" href="https://www.benzinga.com/pressreleases/25/05/b45339398/pan-american-silver-announces-agreement-to-acquire-mag-silver-corp" rel="noreferrer noopener">shares through a plan of arrangement</a>.
As per the deal, MAG shareholders will receive approximately $2.1 billion ($20.54 per MAG share based on PAAS&#8217;s May 9, 2025 NYSE closing price) in a mix of $500 million cash and 0.755 PAAS shares per MAG share (subject to proration).
This represents ~21% and ~27% premiums to MAG&#8217;s May 9, 2025 NYSEAM closing price and 20-day VWAP, respectively.

Post-transaction, MAG shareholders will own ~14% of the enlarged, diversified Pan American, gaining exposure to a larger silver and gold producer.
The acquisition significantly enhances Pan American&#8217;s value by adding a 44% stake in Juanicipio, a premier, low-cost, high-grade silver mine in Mexico with substantial exploration potential, operated by Fresnillo.
This is expected to add forecasted production of 6.5-7.3 Moz of silver to Pan American Silver in 2025 and 58 Moz proven and probable reserves, 19 Moz measured and indicated resources, and 35 Moz inferred resources.
Notably, Juanicipio&#8217;s high-margin ounces, with projected 2025 cash costs of ($1.00)-$1.00/oz and all-in sustaining costs of $6.00-$8.00/oz, are a logical fit within Pan American&#8217;s Americas-focused silver portfolio.
The MAG acquisition should significantly boost Pan American&#8217;s 2025 free cash flow (+$98 million pro forma) and offer significant exploration upside (Juanicipio, Deer Trail, Larder), strategically deploying $500 million of PAAS&#8217;s cash for increased silver exposure and growth.
Michael Steinmann, President and CEO of Pan American, said, &#8220;Juanicipio is a large-scale, high-grade, low-cost silver mine that will meaningfully increase Pan American&#8217;s exposure to high-margin silver ounces. As of March 31, PAAS&#8217; cash and short-term <a target="_blank" href="https://www.benzinga.com/pressreleases/25/05/b45270191/pan-american-silver-reports-unaudited-first-quarter-2025-results" rel="noreferrer noopener">investments stood at $923.0 million</a>.
Price Action: PAAS shares are down 7.24% to $25.24, while MAG shares are up 13% to $19.12 premarket at the last check on Monday.

U.S. and China announced a <a href="https://www.benzinga.com/markets/equities/25/05/45341884/apple-amazon-nvidia-rise-in-monday-premarket-as-us-china-agree-to-90-day-tariff-truce-neither-side-wants-a-decoupling">90-day truce</a> to pause the reciprocal tariffs on Monday and revised it from 125% to 10%.&nbsp;This comes after the White House and Chinese officials signaled significant <a href="https://www.benzinga.com/news/global/25/05/45337811/trump-announces-total-reset-as-us-china-trade-talks-aim-to-end-tariff-war">headway in trade negotiations</a> held in Geneva over the weekend.
The U.S. will maintain its 20% tariffs on Chinese imports linked to fentanyl, keeping the overall tariff level on China at 30%. "We had very productive talks and I believe that the venue, here in Lake Geneva, added great equanimity to what was a very positive process,&#8221; said the Treasury Secretary Scott Bessent after the talks.
The U.S.-China joint statement also indicated Beijing&#8217;s agreement to suspend or remove all non-tariff countermeasures implemented since April 2, including sanctions on specific U.S. firms and export limits on crucial minerals, according <a href="https://www.scmp.com/economy/global-economy/article/3309975/china-us-reduce-majority-tariffs-after-first-round-trade-talks?module=top_story&amp;pgtype=homepage">to</a> the South China Morning Post.
Meanwhile, the 10-year Treasury bond yielded 4.44% and the two-year bond was at 3.98%. The CME Group's FedWatch <a href="https://www.cmegroup.com/markets/interest-rates/cme-fedwatch-tool.html">tool</a>&#8216;s projections show markets pricing a 92.1% likelihood of the Federal Reserve keeping the current interest rates unchanged in its June meeting.

Energy, real estate, consumer discretionary, and materials sectors advanced on Friday. While health care, communication services, consumer staples, and information technology sectors declined.
On the company-specific front, EchoStar Corp. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/SATS#NASDAQ">SATS</a>) rose 1.43% on Friday after reporting quarterly sales of $3.87 billion, down 3.6% year-over-year, in line with the Street view.
Plains All American Pipeline LP (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/PAA#NASDAQ">PAA</a>) fell nearly 3% after it reported first-quarter revenue of $12.011 billion, missing the consensus of $14.26 billion. Adjusted EPS was 39 cents, missing the consensus of 43 cents.
The Dow Jones index declined 119 points or 0.29% to 41,249.38, whereas the S&amp;P 500 index fell 0.071% to 5,659.91. Nasdaq Composite ended 0.004% higher at 17,928.92, and the small-cap gauge, Russell 2000, dropped 0.16% to 2,023.07.

Insights From Analysts:
After last week, 90% of the S&amp;P 500 companies have reported quarterly results, and the performance has been strong relative to expectations, said Brian Therien, the investment strategist at Edward Jones.
Seventy-eight percent have beaten analyst estimates, with an average upside surprise of 8.6%, he highlighted. Forecasts for first-quarter earnings growth of S&amp;P 500 companies have been revised higher to 13.2%, from 6.7% at the end of the quarter.
Performance has been broad, with eight of the 11 sectors forecast to report higher earnings year-over-year.
&#8220;Wider earnings growth should drive more balanced market performance across sectors, strengthening the case for portfolio diversification, in our view,&#8221; Therien added.
Charles Schwab said in a note that they are maintaining a neutral &#8220;marketperform&#8221; rating on all sectors, a shift it made in April after the White House announced broad-reaching tariffs on imports.
&#8220;Uncertainty about the ultimate level and timing of the tariffs has made it difficult to assert a view on which sectors might outperform or underperform the S&amp;P 500 index, so we are holding all sector ratings at Marketperform until we have more clarity on trade policy,&#8221; the note stated.

Asian markets ended higher on Monday as India's S&amp;P BSE Sensex, South Korea's Kospi, China&#8217;s CSI 300, Japan's Nikkei 225, Australia's ASX 200, and Hong Kong's Hang Seng index rose. European markets were also higher in early trade.

Gold surged past $2,790 in Thursday morning trading, setting a new all-time high after eclipsing its late October 2024 peak. Central bank actions and rising demand for safe-haven assets <a href="https://www.benzinga.com/markets">fueled the metal's climb.</a>
Several major central banks have signaled a more dovish stance on inflation in recent hours, leading speculators to anticipate lower borrowing costs ahead—providing further support for gold prices. 
Furthermore, speculation over higher U.S. tariffs is leading to greater demand for gold by central banks, with disruptions affecting trading in London.
<h3 class="wp-block-heading">Fed Holds Steady, While Other Major Central Banks Ease Borrowing Costs</h3>
The Federal Reserve held interest rates steady on Wednesday and refrained from offering clear guidance on future moves. 
Yet, Fed Chair Jerome Powell struck a noticeably less hawkish tone compared to his stance in December.
Powell welcomed the latest inflation readings for January and did not rule out the possibility of rate cuts, stating that weaker labor market conditions or faster-than-expected disinflation could justify easing monetary policy.
Powell further stated that interest rates remain &#8220;meaningfully above neutral,&#8221; suggesting there is room for potential cuts.
&#8220;We remain comfortable with our forecast that the FOMC will deliver two more 25bp cuts in June and December this year and one more in 2026,&#8221; Goldman Sachs economist David Mericle wrote in a note Thursday. 
Market-based expectations continue to point toward two additional Fed rate cuts by the end of 2025, with the first move likely coming in June. 
On Wednesday, the Bank of Canada announced a 25-basis-point rate cut to 3%, citing inflation's broad convergence toward the 2% target. Policymakers also noted the potential negative economic effects of rising U.S. trade tariffs.
The BoC further announced the end of quantitative tightening and plans to restart asset purchases in early March to support liquidity and economic activity. 
On Thursday, <a href="https://www.benzinga.com/economics/macro-economic-events/25/01/43336153/us-economy-grows-below-q4-estimates-as-consumer-spending-hits-7-quarter-high">U.S. GDP growth for the fourth quarter of 2024</a> came in at 2.3%, missing the 2.6% consensus estimate. 
The same day, both the <a href="https://www.benzinga.com/government/regulations/25/01/43340971/ecb-cuts-interest-rates-by-25-basis-points-as-economy-cools-lagarde-rejects-bitcoin-as-reserve-asset">European Central Bank</a> and Sweden's Riksbank also announced rate cuts.
<h3 class="wp-block-heading">Gold Miners Rally, Central Banks Rush To Gold In London</h3>
Rising gold prices are fueling a rally among metal miners during Thursday trading.
The widely followed VanEck Gold Miners ETF (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/GDX#NYSE">GDX</a>) rallied 4.2% reaching levels last seen in early November 2024. Junior miners, as tracked by the VanEck Junior Gold Miners ETF (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/GDXJ#NYSE">GDXJ</a>), were similarly up by 4.1%. 
In a seminar last week, VanEck portfolio manager Imaru Casanova indicated that central banks are rushing to buy gold. 
"Central banks are emerging as a key demand driver for gold prices," she said. 
As reported by Reuters, gold traders in London are scrambling to borrow bullion from central banks as shipments to the U.S. surge amid speculation of potential import tariffs. 
The Bank of England, which stores gold for central banks, is experiencing delays of up to four weeks for withdrawals—far longer than the usual few days.
The rush is driven by traders hedging risks on COMEX and capitalizing on a price premium between U.S. futures and London spot prices. 
Former Koch Supply &amp; Trading executive Robert Gottlieb told Reuters that the BoE is struggling to handle the increased borrowing requests.
