On Wednesday, Boston Scientific Corporation (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/BSX#NYSE">BSX</a>) agreed to acquire Bolt Medical, Inc., the developer of an intravascular lithotripsy (IVL) advanced laser-based platform for coronary and <a target="_blank" href="https://www.benzinga.com/pressreleases/25/01/n42869851/boston-scientific-announces-agreement-to-acquire-bolt-medical-inc" rel="noreferrer noopener">peripheral artery disease</a>.
Cholesterol deposits often create narrowed arteries and may also have a buildup of calcium that can increase the complexity of potential treatments. Lithotripsy is a procedure in which a physician breaks up hardened masses such as calcium to help restore blood flow.
The Bolt IVL system is designed to use lithotripsy to fracture calcium by creating acoustic pressure waves inside a balloon catheter.&nbsp;

The system also includes visible, directional emitters for consistent energy delivery in treating the calcified lesions.
Boston Scientific initially developed the concept for the Bolt IVL system, which helped establish Bolt Medical in 2019.
As a strategic investor in Bolt Medical, Boston Scientific has an equity stake of approximately 26%.
As a result, the transaction consists of an upfront payment of approximately&nbsp;$443 million&nbsp;for the 74% stake not yet owned and up to&nbsp;$221 million&nbsp;upon achievement of certain regulatory milestones.
On a 100% basis, before consideration of Boston Scientific&#8217;s current equity ownership in Bolt Medical, debt, and other closing adjustments, the transaction price consists of&nbsp;$600 million&nbsp;upfront and up to&nbsp;$300 million&nbsp;upon achievement of certain regulatory milestones.
Bolt Medical recently announced the completion and results of the RESTORE ATK and RESTORE BTK pivotal clinical trials investigating the Bolt IVL Above the Knee and Below the Knee systems for peripheral artery disease in patients with moderate to severely calcified lesions.
In&nbsp;December 2024, Bolt Medical received FDA approval to commence the global FRACTURE IDE clinical trial in the U.S., which is investigating the use of the Bolt IVL&#x2122; Coronary System for the treatment of coronary arterial disease with severely calcified lesions.
The deal is expected to be completed in the first half of 2025.
On an adjusted basis, the company expects the transaction to be slightly dilutive to adjusted EPS in 2025 and to offset via internal cost efficiencies and trade-offs. 
On a GAAP basis, the transaction is expected to be more dilutive due to amortization expense and acquisition-related charges, except for a one-time gain to be recognized at closing associated with the company&#8217;s previously held equity interest in Bolt Medical. 
Price Action: BSX stock is up 4.91% at $96.51 at the last check on Wednesday.

Boston Scientific Expands Cardiovascular Treatment Portfolio With $440 Million+ Bolt Medical Deal

Arcadium Lithium Plc (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/ALTM#NYSE">ALTM</a>) shares are trading higher on Wednesday after the company announced that it secured Committee on Foreign Investment in&nbsp;the United States (CFIUS) <a href="https://www.benzinga.com//node/42871559">clearance</a> regarding Rio Tinto&#8216;s proposed acquisition.
The Details: Arcadium entered into a definitive agreement to be acquired by Rio Tinto in an all-cash transaction valued at $5.85 per share <a href="https://www.benzinga.com//node/41243501">back in October</a>. This represents a premium of 90% to Arcadium&#8217;s closing price of $3.08 per share on Oct. 4.
By acquiring Arcadium, Rio Tinto gains its Tier 1 assets with strong, consistent margins and a resource base projected to support 130% capacity growth by 2028 within Rio Tinto&#8217;s existing regions.
Furthermore, the companies have complementary footprints and extensive history in Argentina and Quebec, where Rio Tinto plans to establish world-class lithium hubs. By combining technological leadership in lithium extraction, the acquisition will position Rio Tinto as a market leader in lithium processing both in these regions and beyond.
Moreover, Rio Tinto is confident in the long-term outlook for lithium, anticipating a compound annual growth rate of over 10% in lithium demand through 2040, which is expected to result in a supply deficit.

What's Going On With Arcadium Lithium Stock Wednesday?

Roth MKM analyst Joe Reagor initiated coverage on Brazil Potash Corp. (AMEX:<a class="ticker" href="https://www.benzinga.com/stock/GRO#AMEX">GRO</a>) with a <a href="https://www.benzinga.com/quote/GRO/analyst-ratings" target="_blank" rel="noreferrer noopener">Buy rating and a price target of $17</a>, citing the company&#8217;s undervalued Autazes potash project.
According to Reagor, Brazil&#8217;s heavy reliance on potash imports underscores the project&#8217;s importance, and favorable financing terms could unlock additional valuation upside.
The Autazes project could supply 18% of Brazil&#8217;s potash demand, producing 2.4 million tons annually. As a major agricultural exporter and potash importer, Brazil&#8217;s reliance on external supply underscores Autazes&#8217; strategic value.
The project is well advanced, with construction permits secured. After construction, Brazil Potash can apply for a mining permit—a unique process in Brazil. Following final economic studies, a final investment decision is expected by H2 2025.
Potash prices, currently at $280 per ton due to oversupply, are expected to rebound. Production cuts and 5% annual demand growth over the next decade could significantly improve prices.
Reagor&#8217;s $17 price target is based on a 9% DCF valuation, factoring in long-term potash prices of $450 per ton, projected milestones, and the company&#8217;s cash flow potential post-construction. At full production, the project could generate $1.1 billion in annual revenue and $700 million in EBITDA.
Risks include dilution from capital raises, regulatory setbacks, lower potash prices, project delays, and cost overruns.

The acquisition amounts to a basic equity value of $15.2 million and an enterprise value of $19.7 million.
The proposed merger is expected to offer cost synergies, operational efficiencies, and greater exposure in key retail markets. The deal also aims to leverage both companies&#8217; supply chain networks for cost savings.
Yerbaé&#8217;s plant-based energy drinks generated approximately $12 million in revenue for the 2023 fiscal year.
The global plant-based energy drink market is projected to grow at a compound annual growth rate of 6.7% from 2024 to 2033, reaching a value of $10.5 billion by 2033. 
After the closing of the transaction, SHOT shareholders will own approximately 75.8% and former holders of the Yerbaé shares are expected to own about 24.2% of the combined company.
The Transaction is expected to close in the second quarter of 2025, subject to satisfying certain customary closing conditions.
Safety Shot held <a href="https://www.sec.gov/ix?doc=/Archives/edgar/data/0001760903/000149315224045990/form10-q.htm">$1.4 million in cash </a>and equivalents as of Sept. 30, 2024.

But, the technicals paint a mixed picture – the stock is under heavy selling pressure and is below its eight, 20, and 50-day SMAs. The risk of further bearish movement remains, but the relative strength index (RSI) of 39.05 shows it&#8217;s not quite oversold yet.

Rigetti&#8217;s shares have been hit by the quantum frost, down 35% in the last five days. Yet, the company still carries strong technicals.

Flowers Foods, Inc. (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/FLO#NYSE">FLO</a>) shares are trading lower on Wednesday. The company entered into a deal to acquire<a target="_blank" href="https://www.benzinga.com/pressreleases/25/01/n42870798/flowers-foods-inc-to-acquire-simple-mills" rel="noreferrer noopener"> </a><a target="_blank" href="https://www.benzinga.com/pressreleases/25/01/n42870798/flowers-foods-inc-to-acquire-simple-mills" rel="noreferrer noopener">Simple Mills</a><a target="_blank" href="https://www.benzinga.com/pressreleases/25/01/n42870798/flowers-foods-inc-to-acquire-simple-mills" rel="noreferrer noopener"> for $795 million in cash</a>.
Flowers Foods secured a $795 million term loan from the Royal Bank of Canada to finance the acquisition.
Following the transaction, Flowers&#8217; proforma total net debt is expected to be around $1.9 billion, with a net debt-to-EBITDA ratio of 3.1x to 3.3x.
Flowers aims to uphold its balanced capital deployment strategy while maintaining its investment-grade debt rating.
The deal, pending customary regulatory approval, is expected to close in the first quarter of 2025.
Synergies: The acquisition of Simple Mills is expected to be immediately accretive to Flowers Foods&#8217; net sales, adjusted EBITDA growth, and <a target="_blank" href="https://www.benzinga.com/calendars/guidance" rel="noreferrer noopener">adjusted EBITDA margins on a proforma basis</a>.
The deal is also projected to contribute to Flowers&#8217; earnings per share starting in 2026.
Simple Mills is projected to generate 2024 net sales of $240 million, reflecting a 14% growth compared to the previous year.
This acquisition strengthens Flowers&#8217; presence in the better-for-you and snacking segments, boosting its growth and margin potential.
Once completed, Simple Mills will operate as an independent subsidiary under the leadership of founder and CEO Katlin Smith, continuing operations in Chicago, Illinois, and Mill Valley, California.

As of Oct. 5, 2024, cash and cash<a href="https://www.benzinga.com/pressreleases/24/11/n41840173/flowers-foods-inc-reports-third-quarter-2024-results" target="_blank" rel="noreferrer noopener"> equivalents stood at $15.0 million</a>.

Bitcoin Is Suffering From A Shift In Macro Expectations, Analyst Says: Here's What That Means

Friday&#8217;s official jobs report is expected to shed light on the cooling U.S. labor market in December 2024, as economists project slower hiring that could ease pressure on the Federal Reserve amid renewed inflation concerns and policy uncertainty under <a href="https://www.benzinga.com/topic/donald-trump">Donald Trump</a><a href="https://www.benzinga.com/topic/donald-trump">&#8216;s incoming administration.</a>
In a preview shared Wednesday, ADP's National Employment Report—a private-sector-focused indicator—revealed that employers added 122,000 jobs in December, marking a drop from November&#8217;s 146,000 and <a href="https://www.benzinga.com/economics/macro-economic-events/25/01/42873182/us-private-businesses-add-122000-jobs-in-december-the-labor-market-downshifted-to-a-more-modest-pace-of-growth">coming in below expectations. </a>
Nela Richardson, ADP's chief economist, said: &#8220;The labor market downshifted to a more modest pace of growth in the final month of 2024, with a slowdown in both hiring and pay gains. Health care stood out, creating more jobs than any other sector.&#8221;
<h3 class="wp-block-heading">What To Expect: Nonfarm Payrolls, Unemployment, Wages</h3>
The consensus among economists – as tracked by TradingEconomics – is that nonfarm payrolls will show a net gain of 154,000 jobs in December, down sharply from the 227,000 added in November. 
Such a slowdown would reflect a labor market losing steam, as monthly payroll growth has averaged 140,000 over the past six months, compared to 220,000 earlier in 2024.
The unemployment rate is forecast to remain unchanged at 4.2%, while average hourly earnings are expected to rise 0.3% month-over-month, a deceleration from the 0.4% growth seen in November. 
On a yearly basis, wage growth is projected to hold at 4%, a sign that wage pressures are cooling after months of post-pandemic labor shortages.
<h3 class="wp-block-heading">Implications For Markets And The Fed</h3>
A weaker-than-expected jobs report on Friday could bolster U.S. stocks, weaken the dollar, and lower government bond yields, as investors may interpret it as a signal that the Fed has room to ease monetary policy further. 
On the flip side, stronger-than-expected job creation or lower unemployment could spur fears of a resilient labor market, which might delay the Fed&#8217;s easing timeline.
Wells Fargo analysts said they anticipate a return to trend-like payroll growth in December, highlighting that worker participation has softened slightly, with prime-age participation leveling off—a further indication of cooling labor demand.
Bank of America projects a 175,000 increase in December payrolls, slightly above consensus. Yet, economists at the investment bank indicate the jobs market is "normalizing," with moderating wage growth and low jobless claims suggesting an orderly slowdown.
&#8220;Our base case is that further modest labor market weakness will push the Fed to cut twice more, in March and June,&#8221; Bank of America&#8217;s economist Stephen Juneau said in a note. 
Uncertainty over the Federal Reserve&#8217;s policy path in 2025 remains elevated, with markets pricing in just 40 basis points of cumulative rate cuts by year-end—equivalent to only one fully priced interest rate reduction.
The stakes are high, as Treasury yields have recently surged to their highest levels in over a year, with the 30-year yield approaching the critical 5% threshold. All eyes now turn to Friday&#8217;s jobs report, set for release at 8:30 a.m. ET.
